Terms & Conditions

1.Introduction

These Terms and Conditions ("Agreement") govern the services provided by Cryoflame Technologies ("Company") to clients ("Client"). By engaging our services, you agree to comply with the terms outlined in this document.

2.General Terms


• Scope of Services:
Cryoflame Technologies offers a range of digital services, including Digital Marketing, Web Development, and Graphic Designing. For a detailed list of services and offerings, please visit our website at [company website URL].
• Client Responsibilities:
Clients must provide necessary content, feedback, and access required for service delivery. All materials provided by the client must be original and free from copyright infringement.
• Service Delivery:
Delivery times for each service are agreed upon before commencement and may vary depending on the project scope.
• Confidentiality:
Both parties agree to keep all information, documents, and materials confidential.
• Abuse:
The client agrees to interact with Cryoflame Technologies and its staff in a professional manner. Any harassment, false accusations, or inappropriate behavior will not be tolerated. The Company reserves the right to take legal action and cease services without refunds if such abuse occurs.
• Ownership:
Ownership of the final work, including design, photos, graphics, source code, and any materials developed for the client, transfers to the client upon full payment. Until payment is made, all materials remain the property of Cryoflame Technologies. Use of the materials before full payment breaches the agreement and may incur penalties.
• Additional Requests:
If the client requires the Service Provider to develop or design additional material for web or print purposes, the price will be negotiated based on the work required.
• Additional Expenses:
The client agrees to reimburse any necessary client-requested expenses for the project, such as specific fonts, media, software, plugins, or third-party services.
• Age Requirement:
The client certifies that their authorized representative is at least 18 years old and legally capable of entering into a contract.
3.Payment Terms

Payments for services rendered are due upon receipt of an invoice unless otherwise agreed. Late payments may incur interest or service suspension.

4.Refund Terms

A refund will only be provided if requested on the same day as the advance payment. No refunds will be issued after this 24-hour period. If a refund request is made after this period, Cryoflame Technologies will provide a service of equal value in exchange for the refund. Payments for third-party tools, advertising expenses, or platform subscriptions are non-refundable and will be deducted from the advance payment. Customized services or one-time projects are also not eligible for refunds once delivered. To request a refund on the same day as the advance payment, the client must contact Cryoflame Technologies' support team at [info@cryoflametechnologies.com] with the payment receipt or invoice number. Approved refunds will be processed within one working day.

5.Monthly Subscription Service Payment

The client agrees to pay the monthly fees in advance for each month. The company reserves the right to hold the monthly services if payment is not made within ten (10) days after the due date. If a payment delay is anticipated, the client should contact Cryoflame Technologies to discuss potential problems in advance. Alternate arrangements may be made if necessary. If the client is delinquent in their payment, appropriate actions may be taken, and the account may be handed over to a 3rd party Collections Agency for recovery.

6.Termination

Either party may terminate the agreement with 30 days' written notice.

8.Entire Understanding

These terms constitute the sole agreement between Cryoflame Technologies and the client regarding any development provided by the company. The agreement is effective immediately upon the engagement of services or purchase of any services from Cryoflame Technologies. This agreement applies to all clients for whom the company has rendered services, including those with "powered by" or "website designed by" credits linked to Cryoflame Technologies' URLs

9.Revisions to These Terms of Agreement

Cryoflame Technologies reserves the right to revise, amend, or modify these terms, along with other Terms of Use, Privacy Policies, and Agreements at any time. Notice of any changes will be posted in accordance with the Terms of Agreement.

Department-Specific Terms and Conditions

Digital Marketing Department

1. Scope of Digital Marketing Services
Cryoflame Technologies provides digital marketing services including, but not limited to, SEO, content marketing, social media management, PPC advertising, and email campaigns.
2. Client Responsibilities for Digital Marketing
• The client must provide relevant content, materials, and access to digital marketing platforms (e.g., social media accounts, website backend) as required.
• The client is responsible for approving marketing materials in a timely manner.
3. Campaign Performance
• Cryoflame Technologies does not guarantee specific results such as ROI or traffic increase but will implement industry best practices to maximize effectiveness.
• Reports will be provided at agreed intervals for the client’s review.
4. Graphics & Audio, Video Media
• The Service Provider will create, capture, or receive from the client all necessary graphics, audio, and video elements required for marketing services. This may include photography, scanning services, video/photo shooting, editing, animation, and stock media elements.
• For clients based in the U.S. and Canada, the Service Provider can visit the client's business location to capture images, video, and audio as needed. Travel, food, and accommodation expenses for the team will be covered by the client if applicable.
• The quantity of media production (e.g., photography, video footage, etc.) and associated costs will be discussed and negotiated with the client based on the specific needs of each project.
5. 3rd Party Stock Photography, Audio, and Video
• Any costs incurred in purchasing 3rd party stock photography, audio, or video will be the responsibility of the client.
• The client assumes full responsibility for any 3rd party stock media (e.g., photography, audio, or video) provided to Cryoflame Technologies and agrees to hold harmless, protect, and defend the Service Provider and its subcontractors from any claims or lawsuits arising from the use of such media.
6. Facebook Platform Updates
• Facebook’s platform undergoes regular updates, which may affect the functionality, reach, or performance of digital marketing efforts, including paid advertising and organic content.
• Cryoflame Technologies will make reasonable efforts to adapt to such changes, but the company will not be held responsible for any negative impact caused by updates to Facebook’s algorithms, policies, or interface.
• Clients are advised that information or metrics provided by Facebook may vary over time due to these updates, and Cryoflame Technologies cannot guarantee consistency in these reports.
7.Our packages require a minimum commitment of 3 months to return the best leads and ensure smooth business operations.
8.In case of payment delays or failure to pay, we will stop running the advertisements. Once the payment is made, we will resume the ads.

Web Development Department

1. Scope of Web Development Services
Cryoflame Technologies provides web development services, including but not limited to custom website design, development, e-commerce solutions, and ongoing maintenance. Our services also extend to mobile app development, software development, and cloud-based applications.
2. Client Responsibilities for Web Development
• Content Provision: The client must provide all required content, images, logos, and other materials needed for the website or app. Failure to provide these materials may delay the project timeline.In case the content is provided by the client, any effort made by our team to modify, optimize, or enhance the content for better use will incur extra charges.
• Approval Process: The client is responsible for reviewing and approving design and development stages. Delays in approval may impact the project's delivery timeline.
• Testing and Final Review: The client is required to participate in the testing and review phases, ensuring that all functionality, design, and content meet their requirements before final delivery.
3. Website and Application Maintenance
• Maintenance Packages: Ongoing maintenance and support packages are available. Cryoflame Technologies will not be liable for issues after the final project handoff unless a maintenance or service-level agreement (SLA) is in place.
• Bug Fixes and Updates: Maintenance agreements typically include regular updates, bug fixes, and security patches. Any custom feature requests or upgrades are considered out of scope and will be billed separately.
• Downtime: Cryoflame Technologies strives for maximum uptime but cannot guarantee 100% uptime due to external factors beyond our control, such as third-party hosting issues or platform updates.
4. Domain, Hosting, and Third-Party Tools
• Domain and Hosting: Cryoflame Technologies may provide domain registration and web hosting as part of the service package. These are managed on behalf of the client, who remains responsible for renewal fees and associated costs.
• Third-Party Plugins and Tools: Any third-party tools, plugins, or licenses required for the project will be discussed with the client, and associated costs will be billed separately. The client must agree to any third-party terms and conditions.
• Platform Limitations: Cryoflame Technologies is not responsible for any functionality limitations or downtime caused by third-party hosting platforms or services used for the project.
5. Mobile App Development
• Mobile Platforms Supported: Cryoflame Technologies develops mobile applications for Android and iOS platforms. The client is responsible for ensuring that the required features and functionalities are compatible with the intended platform.
• App Store Submissions: The client is responsible for any fees associated with app store submissions (Google Play Store or Apple App Store). Cryoflame Technologies will assist with the submission process but does not guarantee approval from the respective app stores.
• Third-Party SDKs and APIs: The integration of third-party SDKs or APIs (e.g., payment gateways, map integrations) may involve additional costs and development time. The client must agree to any third-party terms and licensing for these integrations.
6. Software Development
• Custom Software Development: Cryoflame Technologies offers custom software development services, including desktop, web-based, and mobile software solutions.
• Ownership of Code: Unless otherwise agreed, the client will own the source code upon final payment. Until then, the intellectual property remains the property of Cryoflame Technologies.
• Project Deliverables: All project deliverables, such as prototypes, source code, and software documentation, will be handed over to the client upon completion. If the client requires ongoing updates, a separate agreement will be made.
7. Project Timelines and Delays
• Estimated Timelines: Cryoflame Technologies provides estimated project timelines based on the agreed scope of work. The client acknowledges that timelines may be affected by delays in receiving necessary content, feedback, or approvals.
• Unforeseen Delays: Cryoflame Technologies is not responsible for delays caused by unforeseen factors, including but not limited to third-party service outages, platform changes, or force majeure events (e.g., natural disasters).
8. Testing and Quality Assurance
• Testing Scope: Cryoflame Technologies will perform quality assurance (QA) testing before the project is delivered to the client. This includes functionality, performance, and compatibility testing across different devices and platforms.
• Client Testing: The client is responsible for performing their own testing to ensure that the delivered product meets their requirements. Any changes requested after the final review may incur additional costs.
• Bug Fixes Post-Delivery: Any bugs reported within 30 days of project handover will be addressed at no additional cost. After this period, bug fixes will be charged at an hourly rate or covered under a maintenance agreement.
9. Data Security and Privacy
• Data Protection: Cryoflame Technologies follows industry-standard practices to ensure the security and confidentiality of the client's data. The client is responsible for implementing security measures on their end, such as keeping login credentials secure.
• Third-Party Data: Cryoflame Technologies is not liable for any data breaches or privacy issues related to third-party tools or platforms integrated into the project.
10. Intellectual Property and Licensing
• Third-Party Assets: Any third-party assets (such as images, videos, or code libraries) used in the project will be licensed appropriately. The client is responsible for providing proof of licensing for any assets they provide.
• Intellectual Property Rights: The client retains ownership of their intellectual property (e.g., logos, branding) provided to Cryoflame Technologies for the project. Any custom code or assets developed by Cryoflame Technologies are transferred to the client upon final payment.
11. Project Collaboration
For certain customized projects, Cryoflame Technologies may collaborate with external associate companies. In these instances, Cryoflame Technologies functions as a consultancy, overseeing the project’s initial phases. During this period, all accounting dealings, including payments and invoicing, are managed solely by Cryoflame Technologies. Once the project is launched, these responsibilities transition to the associate company, which then handles all subsequent accounting and invoicing processes. Throughout the project, all communications are coordinated by a single point of contact from the associate company.

12.Others
• Work Commencement: Cryoflame Technologies will begin work on the project only after receiving the advance payment as mentioned in the proposal.
• Client Data Provision: The client must provide relevant data such as logos, letterheads, and other necessary materials. If the client is unable to provide these, Cryoflame Technologies will create them, but additional charges will be incurred.
• Timely Feedback: After presenting the demo, the client must report any corrections or feedback promptly to ensure better performance and the fastest possible project completion.To streamline the process, we expect these suggestions to be consolidated as a single document or provided in a single communication. This will help us conclude the work efficiently and avoid unnecessary back-and-forth.
• Correction Time: The time spent on corrections will fully depend on the package chosen by the client. Any corrections beyond the package limits will incur additional charges, which will be calculated on a per-day basis.
• Basic Package Design: The basic package will include only a single design demo. If the client does not approve the design and requests an additional design, an extra charge will be incurred for each new design.
• Semi-Customized Projects: For semi-customized projects, Cryoflame Technologies will provide 60-70% of the design and functionality perfection. In case the client requests revisions after the project completion or beyond the allotted time period, extra charges will be applied based on the requested revisions.
• Customized Projects: For fully customized projects, additional efforts and resources required will incur extra charges compared to pre-designed projects. These charges will depend on the complexity and the level of customization requested by the client.
• Payment Milestones: After the demo presentation, the client is required to complete 80% of the total payment before any further updates or revisions are made. If the client fails to make this payment, work on the project will be paused. Before the official launch of the project, 100% of the payment must be cleared.
• Renewal Payments: The renewal amount must be paid before the due date, the renewal amount may vary depending on the usage of third-party services such as servers, domain registration, SSL certificates, etc.
• E-commerce Projects: We recommend selecting a high-speed server based on client requirements to ensure better performance. The price and rate for the server will vary accordingly. The client is responsible for providing the necessary data. If the client does not supply the required data, we can handle the data entry for an additional charge.
• Backup Policy for E-Commerce Solutions: Clients are responsible for maintaining their own backups, while we offer backup services as an additional support. Clients with an Annual Maintenance Contract (AMC) receive backups as per the agreement. Weekly and monthly backups are available upon request with additional charges. After one year, any backup retrieval will incur extra fees, determined based on the scope and volume of the request. Data restoration requests must be made in writing and are subject to availability and applicable charges. While we ensure reliable backups, we are not liable for data loss or corruption, and clients are advised to maintain independent backups.
• Server Updates: Server updates may impact the performance of the project. Please cooperate with us as we work to resolve the issues within our capacity. Resolving these server-related matters might take some time, but we will strive to resolve them as quickly as possible.
• Backup Plan: We only provide an initial backup for safeguarding the project's initial content. This backup will not be sufficient for ongoing uploads and updates. Clients are advised to select an appropriate backup plan based on their future requirements. If continuous backup is essential, please choose one of our packages that includes backup services. This helps ensure proper data management and content updates as needed.
• Hacking and Virus Attacks: In the event of unexpected hacking or a virus attack, we request the client's full cooperation as resolving such issues may take time and effort. The recovery process can vary depending on the severity of the situation. Additional effort and resources required to resolve the issue will incur extra charges. Please note that restoring the system to its previous state might involve additional time and cost beyond the standard scope of the project.
• File Uploading Responsibility: If file uploading is handled by the client, Cryoflame Technologies is not responsible for any issues or errors after the project launch. Should the client require our assistance for file uploading or any related service after the project launch, it will incur additional charges.
• Source Code Request: If the customer requests the full source code of the project, it will incur an additional charge (25% of the total cost of the project).
• Domain Name Transfer Request: Any domain name transfer requests may or may not incur additional charges. These charges include fees based on the service provider's terms and conditions, along with our company's service fee.
• Terms of Use: Clients must not use our website or services for unlawful purposes or actions that may harm Cryoflame Technologies or third parties.Unauthorized attempts to gain access to our systems, misuse of services, or violating third-party rights are strictly prohibited.Cryoflame Technologies reserves the right to suspend or terminate services if terms are violated.
• Cancellations and Refunds: Since all services are tailored to client requirements and approved at multiple stages, refunds are not provided.Clients may cancel services as per the terms outlined in their proposal documents to prevent future charges.

Graphic Designing Department

• Scope of Graphic Design Services
Cryoflame Technologies provides a comprehensive range of graphic design services, including but not limited to logo design, branding materials, social media graphics, brochures, marketing collateral, and digital illustrations. The exact services offered are defined in the agreement with each client.
Client Responsibilities for Graphic Designing
• The client must provide clear instructions, design preferences, and any required branding materials (e.g., logos, fonts, color palettes) at the beginning of the project.
• All feedback, content, and assets must be provided within the timeline specified to ensure timely delivery and avoid project delays.
• The client must review and approve the design stages promptly to keep the project on track.
Ownership and Licensing
• Upon final payment, the client will own the rights to the final design(s) produced as part of the project. However, Cryoflame Technologies retains the right to display the designs in its portfolio or marketing materials unless the client explicitly requests otherwise.
• Any third-party resources such as fonts, stock images, or design elements used in the project will be properly licensed. Any additional licensing fees related to these resources will be communicated to the client before use. The client takes responsibility for the appropriate use of third-party assets they provide.
Revisions and Approval
• The number of revisions included in the project is dependent on the selected package chosen by the client. Cryoflame Technologies will outline the number of revisions in the agreement based on the package.
• Additional revisions beyond what is included in the package will be charged at an additional cost. The client will be notified of any charges before further work is conducted.
• Once the final design is approved, any additional changes requested will be considered new work and billed accordingly.
Turnaround Time
• Cryoflame Technologies will provide an estimated project timeline based on the client’s scope and requirements. Delays in providing feedback, content, or assets may result in project delays.
• Any requested rush work will be discussed with the client, and additional fees may apply for expedited services.
Confidentiality
• Cryoflame Technologies agrees to keep any confidential information shared by the client during the project process strictly confidential. This includes any sensitive data, proprietary business information, or intellectual property not intended for public use.
• Both parties agree to maintain confidentiality during and after the completion of the project unless written consent is provided.
Others
Creative posters require significant time and effort to design. Therefore, making corrections during the design period is a difficult task. Any additional effort for such corrections will incur extra charges. After submission and approval of creative posters, any corrections or modifications made will incur extra charges due to the additional effort required. After submitting a poster, if no corrections are made within 24 hours of approval, any changes requested after that period will be considered as new work and will incur additional charges.
